Lot 2 — Riser, Tensioner, Hot-Stab & Subsea Connection Spares

This lot is designed for buyers supporting offshore drilling riser systems, tensioner systems, telescopic joints, hot-stab interfaces, and subsea connection hardware. The photographed inventory includes riser-support and tensioner components, connector and receptacle hardware, hot-stab assemblies, hoses, telescopic-joint parts, and associated electrical or subsea connection items. Manufacturers represented include VetcoGray, Aker, Radoil, Seacon, Seatek, Torqlite, and compatible suppliers.

Offshore riser, tensioner, telescopic-joint, hot-stab, and subsea connection spares. Includes photographed primary hardware and an attached schedule of unphotographed companion components, such as seals, connectors, cable assemblies, tensioner parts, riser hardware, and related service inventory.

The lot is supplemented by 35 unphotographed inventory lines that have been assigned to the same riser, tensioner, and connection-equipment family. The attachment is particularly important for seals, electrical/connectivity components, and smaller service items that cannot be understood from representative photos alone. Buyers should use the schedule to assess part-number compatibility with their existing riser or subsea equipment.

1. Asset Condition; Listing Information; Unphotographed Components

All assets are offered and sold AS IS, WHERE IS, WITH ALL FAULTS, without warranties, representations, or conditions of any kind, whether express or implied. Listing details, photographs, videos, documents, manufacturer names, part numbers, descriptions, stated quantities, and other information are supplied for convenience only. They do not replace a bidder’s independent review and verification.

Some lots include a supplemental inventory schedule of parts and components that were inventoried but were not individually photographed. In those lots, photographs are representative only and do not depict every component identified in the schedule. The applicable schedule is the detailed reference for the unphotographed inventory included with that lot. Unless expressly stated in writing and supported by the applicable documentation, no representation is made regarding condition, completeness, serviceability, compatibility, certification, pressure rating, operating history, packaging, testing, or fitness for a particular purpose.

Stated quantities, part numbers, and descriptions are subject to seller verification. A repeated part number or description does not, by itself, establish that components are duplicates, interchangeable, separately available, or additive to another stated quantity.

2. Inspection and Secured Site Access

Assets are stored at a secured operating warehouse. Inspection is not available as a matter of right. Any site visit is by appointment only, subject to the Seller’s prior written approval, site availability, security requirements, operating needs, and all applicable safety requirements.

To protect site security and operations, the Seller may consider an inspection appointment only for a qualified prospective purchaser that demonstrates a bona fide interest in acquiring a material lot or group of assets. The Seller may approve, decline, limit, reschedule, or cancel any inspection request in its discretion. Requests concerning an individual component, a single schedule line, or a non-material purchase may be addressed without site access and may not be eligible for an inspection appointment.

An inspection request, an inspection appointment, or the absence of an inspection opportunity does not create any right to purchase a particular asset, to receive an award, or to inspect any particular component. Bidders remain responsible for bidding based on the information made available in the listing and its attachments.

Any approved visitor must comply with all site-access, safety, insurance, confidentiality, and personal protective equipment requirements. These may include hard hat, safety glasses, and protective footwear meeting the site’s stated requirements, including ASTM, ANSI, CSA, or equivalent requirements where applicable. The Seller or site operator may require proof of insurance, an executed site-access form, or an escort before granting access.

3. Lot Structure; Individual Components; Bid Submission

Bids must be submitted through the IronHub platform before the published closing time. Late bids will not be accepted. A bid must identify the applicable auction lot or lots and include all required information to be considered compliant.

Unless a component is expressly offered in a separate listing, individual line items, parts, and components shown within a bundle or supplemental inventory schedule are included to describe the aggregate auction lot only. They are not separately offered for inspection, bid, award, or sale. A request or offer for an individual component does not obligate the Seller to make that component available, to grant site access, or to consider the request.

By submitting a bid, each bidder confirms that it has reviewed the applicable listing, lot-specific terms, disclosures, and attached schedule, if any. The bidder acknowledges that the opportunity to inspect may be limited or unavailable and that the bidder is relying on its own assessment rather than on any warranty or representation not expressly stated in writing.

4. Seller Approval; Award; Non-Acceptance of Bids

All bids are subject to Seller final approval. The Seller may accept, reject, decline, or negotiate any or all bids. The Seller is not obligated to accept the highest bid or any bid. The Seller may make an award by lot, by group of separately offered lots, or in another manner expressly communicated by the Seller. No award is binding until confirmed in writing by the Seller or IronHub on the Seller’s behalf.

A request to purchase a portion of a listed bundle, an individual schedule line, or an asset not separately listed may be declined without further review. The Seller may require a successful bidder to purchase the complete awarded lot, including the applicable supplemental inventory schedule, as a condition of award.

Unless otherwise stated in the applicable listing, award notification is expected within five to seven business days after the sale closes. That expected timing is not a guarantee of award or completion.

5. Payment; Bill of Sale; Asset Release

Successful bidder(s) will receive an invoice and the applicable Bill of Sale, release documentation, or other transaction documents. Full cleared payment and execution of the applicable Bill of Sale and all required release documents are conditions precedent to asset release and removal. No asset may be removed until the Seller has confirmed that these conditions have been satisfied.

Title, if any, transfers only as stated in the executed Bill of Sale or other release documentation. The purchaser is responsible for any taxes, fees, or charges stated in the invoice or otherwise required by law, unless expressly stated otherwise in writing.

6. Removal; Logistics; Risk; Site Coordination

Unless expressly stated otherwise in the applicable listing or Bill of Sale, the buyer is solely responsible for loading, rigging, transportation, permits, labor, insurance, packaging, safe handling, and all removal costs. Removal is by appointment only and must be completed within the timeframe stated in the listing, award notice, Bill of Sale, or release documentation. The anticipated removal period may be 15–30 days after execution of the Bill of Sale, but the controlling timeframe is the one stated in the applicable transaction documents.

Removal remains subject to site coordination, access controls, safety requirements, weather conditions, and operating constraints. The buyer must use qualified personnel and must comply with site rules and all applicable laws and regulations. The buyer is responsible for evaluating and safely handling any fluids, batteries, electrical components, heavy components, or other materials requiring special handling. The asset is released to the buyer at the stated site only after the Seller authorizes release in writing. Any transfer of title or risk of loss is governed by the executed Bill of Sale or other release documentation.

7. IronHub’s Role

IronHub acts solely as the marketing and transaction facilitator for the sale. IronHub is not the owner of the assets and assumes no responsibility for asset condition, site access, inspection availability, loading, removal, seller approvals, or any buyer–seller agreement, except as expressly confirmed in writing by IronHub.

8. Lot-Specific Terms; Supplemental Schedules; Conflicts

Lot-specific terms, including inspection availability, supplemental inventory schedules, photo coverage, seller loading, removal timing, documentation, and stated exceptions, form part of these standard terms. Where a lot-specific term expressly conflicts with these standard terms, the lot-specific term governs for that lot.

The applicable supplemental inventory schedule is incorporated by reference for the limited purpose of identifying the additional unphotographed components stated to be included with the lot. The schedule does not override the AS IS, WHERE IS sale condition or create any warranty, certification, or commitment to separately sell an individual component.

9. No Waiver; Written Modifications

No waiver, modification, or exception to these terms is effective unless confirmed in writing by the Seller or an authorized IronHub representative acting on the Seller’s written instruction. Oral statements, site discussions, or informal communications do not modify the listing, award, Bill of Sale, or release documentation.
