Standard Auction Terms & Conditions
The following standard terms apply to this closed-bid sale, together with any lot-specific terms expressly stated in the applicable listing.
1. Asset Condition and Information. All assets are offered and sold AS IS, WHERE IS, with all faults and without warranties, representations, or conditions of any kind, whether express or implied. Listing details, photos, documents, and other information are provided for convenience only and should not replace a bidder’s independent review and verification. Condition may vary by lot as described in the listing.
2. Inspection and Site Access. Inspection is by appointment only, where available. Bidders and their representatives must comply with all site-access, safety, insurance, and personal protective equipment requirements, including hard hat, CSA-approved safety footwear, and safety glasses where required.
3. Bid Submission. Bids must be submitted through the IronHub platform before the published closing time. Late bids will not be accepted. A bid must identify the applicable lot or lots and include all required information to be considered compliant.
4. Seller Approval and Award. All bids are subject to Seller final approval. The Seller may accept, reject, or decline any or all bids, is not obligated to accept the highest bid, and may negotiate with any bidder before final award. Partial awards may be made at the Seller’s discretion. Unless otherwise stated, award notification is expected within 5–7 business days after close.
5. Payment and Asset Release. Successful bidder(s) will receive an invoice and Bill of Sale or other release documentation, as applicable. Full cleared payment is required before any asset is released. Title transfers only upon full payment and issuance of the applicable release documentation.
6. Removal and Logistics. Unless expressly stated otherwise in the listing, the buyer is solely responsible for all loading, rigging, transportation, permits, labor, insurance, and removal costs. Removal must be completed within the timeline stated in the listing or release documentation, typically 15–30 days from Bill of Sale execution, and remains subject to site coordination, safety requirements, and weather conditions. Assets are sold FOB the stated site.
7. IronHub’s Role. IronHub acts solely as the marketing and transaction facilitator for the sale. IronHub is not the owner of the assets and assumes no responsibility for asset condition, site access, loading, removal, or any buyer–seller agreement, except as expressly confirmed in writing by IronHub.
8. Lot-Specific Terms and Conflicts. Lot-specific terms, including inspection availability, seller loading, removal timing, documentation, and any stated exceptions, form part of these terms. Where a lot-specific term expressly conflicts with these standard terms, the lot-specific term governs for that lot.
